Terms of Service
You give us long-form video. We analyse it, propose clips, and — if you ask — render and publish them to accounts you have connected. That is the whole product.
Who this is between
These terms are between you and [legal entity], registered in [jurisdiction]. By creating an account you accept them. If you accept on behalf of a company, you are saying you can bind it.
What we do not promise
That any clip will perform well. Selection is a judgement made by software, and social platforms are not deterministic. Nothing in our marketing is a guarantee of reach, views or revenue, and we do not state performance figures we have not measured.
Your content stays yours
You keep every right in the video you upload and in the clips we produce from it. We take one narrow, revocable licence: to store, process, transcode and display your content for the purpose of providing the service to you — and, if you use the publishing feature, to transmit it to the platforms you name.
That licence ends when you delete the content or your account. It does not include the right to use your material in marketing, to show it to other customers, or to train models on it. See the Privacy Policy, which is unqualified on that point.
What you promise us
That you own or are licensed to use everything you upload, and that processing it does not infringe anyone’s rights — including the rights of people who appear or speak in it.
You will not use Klipara to process or publish material that is unlawful, that infringes copyright, that depicts a real person saying or doing something they did not, that harasses anybody, or that sexualises a minor.
Recording consent is yours to obtain. Several of our watched sources are meeting recorders. In some places recording a conversation requires the consent of every participant. We do not know where your participants are and cannot obtain that consent for you.
Platform rules bind you too
When you connect an account, that platform’s terms apply to what you publish through us. In particular:
- You may only connect accounts you own or are authorised to manage.
- Platforms limit automated posting frequency. Our scheduler respects the published limits, but if you exhaust a quota by other means, posts will fail.
- A platform may suspend your account for its own reasons. We cannot appeal on your behalf, and a suspension is not a service failure on our side.
- Where a platform requires it, published content carries the disclosures it mandates.
If a platform changes its API or its rules, that feature may change or stop. We will tell you.
Paying for it
The mechanics that matter, all of which are implemented rather than aspirational:
You are charged on export, not on ingest. Analysing a video and looking at the results costs nothing. A Klip is spent when you export a clean file — and one Klip covers that clip and every platform post and variant made from it. We never charge per post.
Analysis is metered in seconds and charged from the probed file, not from anything a feed declared, and once per source — so a retry or a re-cut is not a second charge.
Running out stops the work; it does not charge you. Overage is opt-in and off by default. If you have not turned it on, we stop and tell you.
We refund our own failures automatically. If a job fails on our side or times out, the analysis time returns to your allowance and you are emailed about it, whether or not you ask.
The Keeper Guarantee. Export a clip and, within 24 hours, tell us it was not a keeper: we credit it back. Uncapped for your first 30 days, then capped at 20% of your monthly allowance. The cap exists so the guarantee cannot be used as unlimited free export, and it is enforced in code rather than on request.
Re-exporting an edited clip is free for 7 days. Otherwise the editor would be a tax on fixing our own mistakes.
We tell you before we charge you. A renewal reminder goes out before every renewal with the amount and the date in the subject line and a cancellation link in the body. Cancel before that date and you are not charged. Cancellation is self-serve; you never need to email us to stop paying.
Unused Klips do not expire on cancellation. Unused analysis hours do not roll over — they are reserved capacity, and we say so rather than implying otherwise.
Uptime, and what happens when we break it
We target 99% of jobs completing or failing cleanly within three times realtime, and we publish a status page. That is a target, not a contractual SLA, unless you have a written agreement that says otherwise. When we fail, the automatic refund above applies — we do not require you to notice, ask, or open a ticket.
Suspension
We may suspend an account for non-payment, for a credible legal complaint, or for use that breaks the promises above. Except where the law or an ongoing investigation prevents it, we will tell you why and give you a chance to fix it. We will not suspend an account to avoid a refund.
Copyright
We respond to valid copyright notices. The procedure, including how to file a counter-notice, is on the copyright page. Repeat infringers lose their accounts.
Ending it
You can cancel at any time from the billing page, and delete your workspace from settings. Deletion is scheduled seven days out and is cancellable until it runs.
We can end these terms on 30 days’ notice, or immediately under Suspension. If we end them for our own convenience, we refund the unused portion of what you have paid.
Liability
To the extent the law allows: the service is provided as-is; we are not liable for indirect or consequential loss, or for lost profits or reputation; and our total liability is capped at what you paid us in the 12 months before the claim.
Nothing here excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded. If you are a consumer, your statutory rights are unaffected. The cap and the exclusions are subject to [governing law review].
Changes
We will post changes here and email workspace owners at least 30 days before anything material takes effect. If you do not accept a change, cancel before it does — we will refund the unused portion.
